These terms explain how we work with companies to help you build amazing teams. We’ve written them in plain English because business relationships should be clear and straightforward.
The basics: We’ll work hard to find you the right people using our Chemistry First methodology, and you’ll work with us in good faith to build something awesome together.
By working with us, you’re agreeing to these terms. If you have questions or concerns, just ask—we’re here to help you succeed.
Who We Are and What We Do
HFBAC (Hiring For and Building Awesome Companies) specialises in helping startups and scale-ups find the right people to grow their businesses. We’re not like traditional recruiters—we understand startup culture and focus on long-term success, not quick placements.

Our Partnership Levels
We offer three partnership levels designed for different stages of company growth. Each has the same core services but different pricing and payment structures.
Solo Founder Partnership
For: Solo founders and micro businesses (1-5 employees)
Investment: £7,500 + VAT
Best for: Early-stage founders building their first team
Standard Partnership
For: Growing companies (5-20 employees)
Investment: £7,500 + VAT
Best for: Startups with established teams looking to scale
Enterprise Partnership
For: Larger companies (20+ employees)
Investment: £12,000 + VAT
Best for: Scale-ups with more complex hiring needs
What We Do For You
Our Core Services (All Partnership Levels)
Chemistry First methodology: Our proven approach to finding people who don’t just have the right skills, but fit your culture and vision.
What’s included:
- Initial consultation and needs assessment
- Candidate search and identification beyond your immediate network
- Chemistry First compatibility assessment
- Interview coordination and support
- Reference checking and due diligence
- Integration support for the first 90 days
What’s Not Included
Services we don’t provide:
- Legal advice on employment contracts
- Payroll or HR administration services
- Ongoing management coaching (available separately)
- Immigration or visa support
- Background checks beyond standard references
Why these aren’t included: We focus on what we do best—finding and placing the right people. For specialised services, we’ll recommend trusted partners.
Investment and Payment Terms
Solo Founder Partnership (£7,500 + VAT)
Payment 1: Engagement Fee
- Amount: £1,200 + VAT (non-refundable)
- Due: Within 7 days of signing agreement
- Purpose: Covers initial assessment and search setup costs
Payment 2: First Placement Payment
- Amount: £3,150 + VAT (half of remaining balance)
- Due: Within 14 days of invoice (issued in candidate’s first week)
- Purpose: Covers successful candidate placement
Payment 3: Final Payment
- Amount: £3,150 + VAT (remaining balance)
- Due: Within 14 days of invoice (issued at candidate’s 90-day milestone)
- Purpose: Completion of service delivery and integration support
Standard Partnership (£7,500 + VAT)
Payment structure: Identical to Solo Founder Partnership
Same terms: £1,200 engagement fee, then two payments of £3,150 each
Enterprise Partnership (£12,000 + VAT)
Payment 1: Engagement Fee
- Amount: £1,200 + VAT (non-refundable)
- Due: Within 7 days of signing agreement
- Purpose: Covers initial assessment and search setup costs
Payment 2: Offer and Acceptance
- Amount: £3,000 + VAT
- Due: Within 14 days of invoice (issued when offer is accepted)
- Purpose: Covers successful candidate placement
Payment 3: Final Payment
- Amount: £7,800 + VAT
- Due: Within 14 days of invoice (issued in candidate’s first week)
- Purpose: Completion of service delivery
Universal Terms (All Partnerships)
Fixed fee structure: Our fee applies regardless of whether the role is:
- Full-time or part-time
- PAYE employment or contractor arrangement
- Associate or freelancer arrangement
- Contract or permanent position
Late payment: If you don’t pay on time, we’ll charge 1% per month interest on outstanding amounts. We may also pause ongoing work until payment is received.
VAT: All fees are subject to UK VAT at the current rate.
Our 12-Month Free Replacement Guarantee
How It Works (All Partnership Levels)
365-day guarantee: If your new team member leaves for any reason within 365 days of starting, we’ll find you a replacement.
Your investment: You only pay £300 to cover readvertising costs.
No questions asked: Whether they leave, you let them go, or circumstances change—we’ll find a replacement.
What You Need To Do
Payment compliance: Pay all invoices on time
Prompt notification: Tell us in writing within 7 days if someone leaves
Good faith cooperation: Work with us in good faith to find a suitable replacement
Same role focus: The replacement should be for a similar role and requirements
What’s Covered
Full 12-month protection: Comprehensive guarantee at no additional cost
Unlimited replacements: If the replacement doesn’t work out, we’ll find another
Same service level: Replacement searches receive the same attention as original searches
Confidentiality and Information Sharing
What We’ll Keep Private
Your confidential information:
- Business plans and strategy
- Financial information you share with us
- Details about your team and operations
- Any sensitive information marked as confidential
- Compensation and equity structures
- Product development and competitive information
What You’ll Keep Private
Our confidential information:
- Details about candidates we introduce to you
- Our Chemistry First methodology and processes
- Information about other clients (if you become aware of any)
- Our assessment tools and frameworks
Candidate Information Sharing
Restricted sharing: You can only share candidate details with people directly involved in the hiring decision.
Fee protection: If you share candidate information with others and they hire that person, you’ll still owe us the full fee.
Professional courtesy: Treat all candidate information with the same confidentiality you’d expect for your own information.
Intellectual Property Rights
Our Intellectual Property
What we own: Our Chemistry First methodology, assessment tools, and any materials we create for our business.
Your usage rights: You can use our materials for this project but can’t share them with others or use them for other purposes.
Ongoing protection: Our intellectual property rights continue after our engagement ends.
Your Intellectual Property
What you own: Your business information, plans, and anything you create.
Our usage: We’ll only use your information to provide our services.
Respect and protection: We won’t use your intellectual property for other clients or purposes.
Work We Do Together
Joint materials: Any reports or assessments we create specifically for you become yours to keep and use.
Ongoing access: You retain access to all materials created for your project.
Your Responsibilities
Information You Need To Provide
Role clarity:
- Clear job descriptions and requirements
- Details about your company culture and values
- Honest information about compensation and benefits
- Realistic timeline and expectations
Access and availability:
- Access to key decision makers for interviews
- Timely feedback on candidates we present
- Participation in our Chemistry First assessment process
Legal Requirements
Employment compliance:
- Ensure you have the right to hire in your location
- Handle all employment law compliance
- Arrange work permits or visas if needed
- Conduct any required background checks beyond our standard references
- Provide a safe working environment
Regulatory compliance: Meet all applicable employment, tax, and regulatory requirements in your jurisdiction.
Working Together
Communication standards:
- Respond to our communications within 48 hours during business days
- Attend scheduled meetings and calls
- Provide constructive feedback on our service so we can improve
Professional conduct: Treat all candidates and our team with respect and professionalism.
Our Service Standards and Limitations
What We Promise
Professional service: We’ll use reasonable care and skill in providing our services.
Chemistry First approach: We’ll apply our proven methodology to find candidates who fit your culture and requirements.
Ongoing support: We’ll provide integration support for 90 days after placement.
Honest communication: We’ll be transparent about market conditions, candidate feedback, and realistic timelines.
What We Can’t Promise
Outcomes we can’t guarantee:
- Specific placement timelines (market conditions vary)
- Perfect candidates (hiring involves human judgment)
- Candidate acceptance of offers
- Long-term employee performance
- Market salary expectations
External factors: We can’t control economic conditions, candidate availability, or changes in your business needs.
Liability and Risk Management
Our Liability Limits
Financial liability: If we make a mistake that costs you money, our liability is limited to the total fees you’ve paid us for this project.
Specific limits by partnership:
- Solo Founder & Standard: £7,500 + VAT
- Enterprise: £12,000 + VAT
What We’re Not Responsible For
Your decisions: Decisions you make about hiring or not hiring candidates
Employee performance: How candidates perform once they start working for you
External changes: Changes in employment law, regulations, or economic conditions
Business factors: Economic conditions affecting your business or delays caused by your actions
Important Exception
Safety first: We’re fully responsible for death or personal injury caused by our negligence. Nothing in this agreement limits that responsibility.
Ending Our Partnership
When You Can End This Agreement
Justified termination:
- We don’t deliver what we’ve promised
- We breach this agreement and don’t fix it within 14 days of written notice
- Your business circumstances change significantly
When We Can End This Agreement
Justified termination:
- You don’t pay our fees on time
- You breach this agreement and don’t fix it within 14 days of written notice
- You become insolvent or enter administration
- You share confidential information without permission
What Happens When It Ends
Financial settlement: You pay for all work completed up to the end date
Information return: We return any of your confidential information
Ongoing obligations: Our confidentiality obligations continue
Guarantee protection: Any guarantees for placed candidates remain in effect
Dispute Resolution
Our Preferred Approach
Talk first: If we disagree about something, let’s have an honest conversation first. Most issues can be resolved with good communication.
Quick resolution: We aim to resolve concerns within 48 hours of you raising them.
Formal Process
Mediation: If talking doesn’t work, we’ll try mediation through a neutral third party.
Cost sharing: We’ll each pay half the mediator’s costs.
Location: Mediation will happen in Bristol, England.
Legal Action
Last resort: If mediation doesn’t work, any legal disputes will be handled in English courts under English law.
Cost responsibility: Each party pays their own legal costs unless there’s been serious misconduct.
Force Majeure (When Things Go Wrong)
Circumstances Beyond Our Control
Uncontrollable events: Natural disasters, pandemics, strikes, government actions, or other circumstances that prevent us from delivering our services.
Not our fault: We’re not liable for delays or problems caused by these circumstances.
What We’ll Do
Immediate communication: Tell you as soon as possible about any delays
Work around problems: Find alternative approaches where possible
Resume quickly: Return to normal service as soon as circumstances allow
Extended Delays
90-day rule: If circumstances beyond our control last more than 90 days, either of us can end this agreement without penalty.
Data Protection and Privacy
Our Commitment
Legal compliance: We handle all personal data according to UK GDPR and applicable data protection laws.

Your Data Rights
Full control: You have rights to access, correct, delete, and port your data.
Clear processes: We have clear procedures for handling data requests.

Legal Framework
Entire Agreement
Complete terms: This document and your signed proposal contain our complete agreement. Override provision: These terms override any previous discussions or informal agreements.
Changes and Modifications
Written changes only: We can only change this agreement if we both agree in writing and sign the changes.
No verbal modifications: Casual conversations don’t change our formal agreement.
Governing Law
English law: This agreement is governed by English law.
English courts: Any disputes will be handled in English courts.
International clients: We’ll respect local consumer protection laws where they apply.
Getting Started
Before You Sign
Read everything: Make sure you understand all terms before signing.
Ask questions: If anything isn’t clear, please ask us to explain.
Authority check: Ensure you have authority to enter into this agreement on behalf of your company.
What Signing Means
Agreement acceptance: You understand and accept these terms.
